MobiYard.com (MY) is an online(Web) and mobile based social networking platform for connecting people across the world. Through MobiYard.com (MY), a member can connect with his/her friends and family to share his/her media. All the services, applications and content offered at MobiYard.com (MY) will come under the purview of this agreement.

This "Terms of Use Agreement" sets forth all legally binding terms of Use of MobiYard.com (MY) services, applications and content. By using MobiYard.com (MY), you explicitly become a "User" who has agreed to be bound by this agreement whether you are a passing visitor or a registered member of MobiYard.com (MY). If you do not intend to be bound by this agreement, you must immediately leave MobiYard.com (MY) and not use any of our applications, services or content.

When accepting this agreement, the user should also be aware and be bound by our privacy policy. The user also agrees to read the safety tips mentioned on MobiYard.com (MY).

MobiYard.com (MY) retains the right to modify this agreement from time to time. Those modifications will be effective from the time they are posted on MobiYard.com (MY). It is agreed upon by the user to be bound by those modifications. Eligibility

Use of and Membership in the MobiYard.com (MY) is void where prohibited. By using the MobiYard.com (MY) Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 15 years of age or older; and (d) your use of the MobiYard Services does not violate any applicable law or regulation.

Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are less than 15 years of age.

Term of Agreement

This Agreement shall remain in full force and effect while you use MobiYard.com (MY) Services. MobiYard.com (MY) may terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect. Any changes to the agreement will be enforced upon posting of the agreement to MobiYard.com (MY)

Account Access

When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify MobiYard.com (MY) immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

Fees

Its is agreed by the user that MobiYard.com (MY) reserves the right to charge for its Services and to change its fees from time to time in its discretion. If MobiYard.com (MY) terminates your Membership because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of subscription fees.

Posting and Use of Content

MobiYard.com (MY) reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of our Services at any time, for any or no reason, with or without prior notice, and without liability. The content posted by the users are not necessarily reviewed by MobiYard.com and do not represent the policies and views of MobiYard.com (MY). MobiYard.com (MY) does not endorse and has no control over such content.

Objectionable Content

MobiYard.com (MY) doesn't allow users to post personal information (Phone Number, Address) on public forums on MobiYard.com (MY). It is also strictly advised not to post any disturbing, lewd, violent, sexually explicit, racism, hatred subject matters. Despite the prohibition and monitoring of the site, objectionable information might appear on MobiYard.com (MY). All users who come across such information agree to report the abuse to MobiYard team through the "Report Abuse" Link. MobiYard.com (MY) assumes no responsibility or liability for such material.

Ownership of Material/Content:

MobiYard.com (MY) does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you post on to MobiYard.com (MY). After posting your Content to the MobiYard.com (MY), you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By displaying or publishing ("posting") any Content on or through MobiYard.com (MY), you hereby grant to MobiYard.com (MY) a limited global license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through our Services. The user also agrees to allow MobiYard.com (MY) to earn any money through way of ads being shown on the pages where the content is displayed. If the user intends to, we request the user to immediately take his/her content off the website. MobiYard.com (MY) respects the copyright law and all its members should ensure that no copyrighted material on which the user doesn't have any rights be posted by him/her on MobiYard.com (MY). The user who has posted such material takes complete responsibility and liability.

If you believe that your work has been copied and posted on MobiYard in a way that constitutes copyright infringement, we request you to immediately contact us via our Contact us form. We request you to also provide any info that would prove the accuracy of your claim and that you are the copyright owner or authorized to act on the copyright owner's behalf. It is agreed by the users not to use MobiYard.com (MY) for any kind of illegal activities, like sexual solicitation, financial traps, solicitation of personal info, threatening, obscene or defamatory activities, sexual imagery, stalking, Virus, automated scripts which will add friends, write comments onto individual profiles and their content, using others account information, posting copyrighted and pirated material, chain letters, spamming, photos or information of other persons for which you do not have explicit acceptance and etc.

MobiYard.com (MY) is committed to its users overall safety and reserves the right to work and cooperate with local authorities to take appropriate action against any user indulging in illegal activities on MobiYard.com (MY).
Member Disputes
You are solely responsible for your interactions on MobiYard.com (MY). MobiYard.com (MY) reserves the right, but has no obligation, to monitor disputes between you and other Members.

NOT WITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, MobiYard.com (MY) LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO MobiYard.com (MY) FOR THE MobiYard.com (MY) SERVICES DURING THE TERM OF MEMBERSHIP.

Disputes

If there is any dispute about or involving MobiYard.com (MY), you agree that the dispute shall be governed by the Civil court of Baroda, Gujarat, India without regard to conflict of law provisions. Either MobiYard.com (MY) or you may demand that any dispute between MobiYard.com (MY) and you about or involving MobiYard.com (MY) must be settled by arbitration utilizing, provided that the foregoing shall not prevent MobiYard.com (MY) from seeking injunctive relief in a court of competent jurisdiction.

Indemnity

You agree to indemnify and hold MobiYard.com (MY), its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the MobiYard.com (MY) in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the our Website or through the Services causes MobiYard.com (MY) to be liable to another.

To whom does MobiYard transfer my personal information?

MobiYard shall not sell, rent, trade or otherwise transfer any Personal and/or Traffic Data or Communications Content to any third party without Your explicit permission, unless it is obliged to do so under applicable laws or by order of the competent authorities.

In order to provide You with Services or other services You have requested, MobiYard may sometimes, if necessary, share Your Personal and Traffic Data with MobiYard Affiliates (as defined in the End User License Agreement), carriers, partner service providers and/or agents. MobiYard will always require these third parties to take appropriate organizational and technical measures to protect Your Personal Data and Traffic Data and to observe the relevant legislation. Please be informed that, notwithstanding the abovementioned, in the event of a designated competent authority requesting MobiYard or MobiYard local partner responsible towards such authority, to retain and provide Personal and/or Traffic Data, or to install wiretapping equipment in order to intercept communications, MobiYard and/or its local partner will provide all necessary assistance and information to fulfill this request.

Information collected on the Website may be stored and processed in any country in which MobiYard maintains facilities. In this regard MobiYard reserves the right to transfer information outside of Your country. By using MobiYard Software or the Services You consent to any such transfer of information outside of Your country. As MobiYard continues to develop its business, MobiYard might sell or buy subsidiaries or business units. In such transactions as well as in the event MobiYard or substantially all of its assets are acquired by a third party, personal information of MobiYard users will generally be one of the transferred business assets. We reserve the right to include Your personal information, collected as an asset, in any such transfer to a third party.

Other

This Agreement is accepted upon your use of MobiYard.com (MY) or any of the MobiYard.com (MY) Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and MobiYard.com (MY) regarding the use of MobiYard.com (MY). The failure of MobiYard.com (MY) to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles used in this Agreement are for convenience only and have no legal or contractual effect. MobiYard.com (MY) is a trademark of MobiYard and Kay Infosys. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
